Terms of Service
In short. ansame is a business service. Sophie is an AI receptionist, not a person and not an emergency service. You pay a monthly plan with included minutes and 15p a minute after that. You must tell your callers they are speaking to an AI. Call recording is off unless you switch it on; if you do, Sophie asks each caller first and keeps a recording only if they agree. We look after your callers' data under the Data Processing Agreement in Schedule 1. This summary is for convenience; the full terms below are what apply.
1. About these terms
1.1 These Terms of Service ("Terms") are a contract between YNT Advisory Ltd, a company registered in England and Wales with company number [COMPANY NUMBER], whose registered office is at [REGISTERED ADDRESS], trading as "ansame" ("ansame", "we", "us", "our"), and the business that signs up for the Service ("Customer", "you", "your").
1.2 Business use only. The Service is offered only to businesses, sole traders acting in the course of their trade, charities and public bodies. It is not offered to consumers. By accepting these Terms you confirm that you are acting for the purposes of your trade, business, craft or profession and that you have authority to bind the business you represent. Consumer protection laws that apply only to consumers, including the cancellation rights in the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, do not apply.
1.3 You accept these Terms by ticking the box when you set up your login, by accepting them when prompted, or by using the Service. We keep a record of each acceptance (who accepted, which version, when, and the IP address and browser used) as evidence of the agreement.
1.4 The agreement between us is made up of: (a) any order form, proposal or written plan confirmation we agree with you ("Order"); (b) the Data Processing Agreement in Schedule 1 ("DPA"); (c) the Acceptable Use rules in clause 12; and (d) these Terms (together, the "Agreement"). If they conflict, the order of priority is: the DPA (for anything about personal data), then the Order, then these Terms.
1.5 Our Privacy Policy explains how we handle personal data where we decide how it is used (for example your account details and website enquiries). It is not part of the contract but you should read it.

3. The Service
3.1 ansame provides an AI voice receptionist for your business. When calls are forwarded from your own number (or made to a number we provide), Sophie answers, uses the information you give us to talk to the Caller, takes messages, marks urgent calls, answers common questions, books appointments into the built-in calendar or a connected calendar (such as Calendly, and Google Calendar or Microsoft Outlook where available), drafts quotes from your price list, and sends you a summary of each call by email and in your dashboard.
3.2 You keep your own phone number. Call forwarding is set up with your own phone provider, who may charge you for forwarded calls. Those charges are between you and your provider.
3.3 Some features (for example buying a dedicated phone number, some calendar connections or the website reader) may only be available on some plans, may be in beta, or may be switched on by us when ready. Features we describe as "beta", "preview" or "coming soon" are provided as they are, may change or be withdrawn, and are not covered by any service commitment.
3.4 We may use subcontractors and sub-processors to provide the Service (see clause 13 and Annex 3 of the DPA). We remain responsible for their performance as set out in the Agreement.
4. Accounts and logins
4.1 We create your business account and send each User a one-time link to choose a password. Links expire after 7 days and work once.
4.2 You must make sure that: (a) the information you give us is accurate and kept up to date; (b) each User has their own login and keeps their password secret; (c) Users comply with the Agreement; and (d) you tell us at once at hello@ansame.uk if you suspect a login or API key has been lost, stolen or misused.
4.3 You are responsible for everything done through your account and your API keys, unless it was caused by our breach of the Agreement.
4.4 We may refuse, suspend or reset a login if we reasonably believe it has been compromised.
5. Plans, fees and billing
5.1 Plans. You pay the monthly fee for the plan shown in your Order or dashboard. At the date of these Terms our plans are Starter at £59 a month (200 included Minutes) and Standard at £99 a month (500 included Minutes). Current plans and prices are shown on our website and in your dashboard. All prices exclude VAT (see clause 5.6).
5.2 Billing periods, included Minutes and overage. Your Service runs in monthly billing periods that start on your billing start date (normally the day your Service goes live). Each billing period runs from that day of the month to the day before the same day in the next month; where a month has no such day (for example the 31st), the period starts on the last day of that month. Each plan includes a number of Minutes per billing period. Minutes are counted per second, totalled across the billing period and rounded up to the next whole minute. Minutes you use beyond your included Minutes ("overage") are charged at 15p per minute unless your Order says otherwise. Unused included Minutes do not roll over and have no cash value.
5.3 Test calls. Test calls you or your Users make, including calls made from a browser inside your dashboard, are counted as Minutes in the same way as real calls. They use your included Minutes first; once those are used up, they are charged as overage. The dashboard shows how many included Minutes you have left in the current billing period. Test calls we make ourselves when setting up or supporting your account are not counted.
5.4 Phone numbers. If we provide a dedicated phone number for you, a monthly number charge may apply as shown in your Order or dashboard.
5.5 Payment. You are invoiced shortly before each billing period starts (at the date of these Terms, 5 days before; each invoice shows its own dates), and each invoice is payable by bank transfer by the first day of that billing period (or any later date shown on the invoice). The plan fee is billed in advance, for the billing period that is about to start. Overage and other usage charges are billed in arrears: they appear on the first invoice issued after the billing period in which they were used has ended. Your first invoice is issued when your Service goes live, covers the plan fee for your first billing period, and is payable within the number of days shown on it (5 at the date of these Terms). Unpaid accounts may be suspended after a reminder. Please quote the invoice reference with your payment. We do not take payment by card or Direct Debit unless we agree otherwise with you in writing.
5.6 VAT. All prices and charges exclude VAT. That includes the plan fees and per-minute rates in clause 5.1 and those shown on our website, in your dashboard, in an Order and on invoices. YNT Advisory Ltd is not registered for VAT at the date of these Terms, so no VAT is charged at present. If and when we become registered for VAT, we will add VAT at the rate in force at the time to fees and charges invoiced from then on, and we will tell you by email before we start. Adding VAT in this way is not a price change under clause 5.8.
5.7 Late payment. If you do not pay on time we may: (a) charge interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998; and (b) after sending you a payment reminder, and an email at least 24 hours before it takes effect, suspend the Service (including call answering) until payment is made (see clause 21). We will restore the Service promptly once the payment has reached us.
5.8 Price changes. The Agreement is flexible and runs month to month, so we may change our prices (including plan fees, included Minutes and per-minute or other rates) at any time during the Agreement, for example when our suppliers' costs rise. We will give you at least 14 days' notice by email. A change never applies to a billing period that has already started: it takes effect from the start of the first billing period that begins after the notice period ends. If you do not accept the change, your remedy is to cancel before it takes effect (clause 7); you pay the old prices up to the end date.
5.9 Disputes. If you dispute an invoice in good faith, tell us within 30 days of the invoice date with your reasons. You must pay any undisputed amount on time.
6. Trials and demos
6.1 We may offer a free trial, a demo or a discounted introductory period. The length, included Minutes and any limits will be stated when it is offered. Unless stated otherwise, at the end of a trial the Service stops, or continues on the plan you choose, and fees are payable from then on.
6.2 During a free trial the Service is provided "as is", and, to the extent the law allows, we have no liability to you for the trial except for liability that cannot be limited or excluded by law.
7. Cancellation and refunds
7.1 No cooling-off period. Because the Service is provided only to businesses, there is no statutory 14-day right to cancel.
7.2 Rolling monthly; cancel any time. Unless your Order sets a minimum term, the Agreement is a flexible rolling contract that runs from one billing period to the next. You can cancel at any time by emailing hello@ansame.uk or through your dashboard (where available). The Service then continues until the end of the billing period in which you cancel, and the Agreement ends on that date. There are no refunds or credits for cancelling part-way through a billing period, and any invoice for the plan fee for that period and for usage up to the end date (including overage invoiced after the end date) is still payable.
7.3 Minimum terms. If your Order sets a minimum term, you agree to pay the fees for the whole of that term, even if you stop using the Service early, unless you end the Agreement because of our material breach under clause 21.4.
7.4 Refunds. Fees already paid are not refundable, and we do not refund part billing periods or unused Minutes, except: (a) where we end the Agreement for convenience under clause 21.3, in which case we refund any fees paid in advance for the period after termination; (b) where you end the Agreement because of our material breach under clause 21.4, in which case we refund fees paid in advance for the period after termination; or (c) where the law requires a refund. [REFUND POLICY: confirm, or replace with e.g. a first-month money-back guarantee]
8. Your responsibilities
8.1 You are the controller of Caller Data, and you decide why it is collected and how it is used. You must:
- have a lawful basis under Data Protection Laws for having Sophie answer your calls and for processing Caller Data, including any additional condition needed for special category data (such as health information) if your Callers are likely to share it;
- give Callers the information Data Protection Laws require (for example by updating your own privacy notice to explain that calls are answered by an AI service, may be recorded and transcribed, and are processed by ansame and its sub-processors), and tell Callers they are speaking to an AI and about any recording, as set out in clause 10;
- make sure the information, instructions, greetings, price lists and answers you give us for Sophie are accurate, lawful, up to date and do not infringe anyone's rights;
- read and act on messages, urgent alerts and bookings promptly, and keep a way for people to reach a human at your business when they need one;
- comply with all laws, regulations and codes that apply to your business and to your calls, including (where relevant) rules from your regulator (for example the CQC, the FCA, the GDC or a trade body), Ofcom rules, and laws on consumer protection, equality, advertising, marketing calls and recording;
- not ask Sophie to give regulated advice (for example medical, legal, financial or safeguarding decisions); she can take a message and pass it to a qualified person;
- keep your own records where the law or your regulator requires you to (the Service is not a records-management system for regulated records); and
- use the Service only in line with the Agreement and our reasonable instructions.
8.2 If you operate in health, social care or another sensitive sector, you remain fully responsible for clinical decisions, safeguarding, triage and escalation. You should tell Sophie (through your settings) which matters are urgent and how they should be escalated, and you must have your own procedures for responding to them.
8.3 You must not send us, or ask Sophie to collect, payment card details, passwords or other information that the Service is not designed to hold.
9. Emergencies: Sophie is not an emergency service
Sophie is not an emergency service and must not be relied on in an emergency. She cannot contact the police, fire, ambulance or coastguard services and cannot transfer a Caller to them. In an emergency, people must hang up and ring 999 (or 112). For urgent medical help that is not an emergency, they should ring NHS 111.
9.1 Sophie is designed to tell a Caller who describes an emergency to hang up and ring 999, and to mark the call as urgent in the summary, but we cannot guarantee that she will always recognise an emergency or that a summary or alert will reach you in time.
9.2 You must not advertise or present the Service as a way to reach help in an emergency, and you must make your own arrangements for emergencies and out-of-hours urgent matters.
9.3 We are not liable for any loss or harm arising from an emergency, or from a delay in a message, alert or call summary reaching you, except to the extent caused by our negligence and to the extent such liability cannot be excluded by law.
10. Telling callers about AI and recording
10.1 AI disclosure. Callers should know they are speaking to an AI and not a person. You agree that Callers will be told this, either in Sophie's greeting or in another clear way before or at the start of the call. We provide an optional setting that adds a short disclosure to the greeting, for example: "Hi, you've reached [business]. I'm Sophie, the AI assistant. How can I help?" If you switch that setting off or write your own greeting, you are responsible for making sure Callers are told another way.
10.2 Sophie should not claim to be human. If a Caller asks whether they are speaking to a real person, she is designed to answer honestly.
10.3 Transcription. The Service transcribes and summarises every call so that you receive accurate messages. You agree that Callers will be told, in your privacy notice or another clear way, that calls are answered by an AI service and transcribed, and that you have a lawful basis for this.
10.4 Call recording: off unless you switch it on. Audio recordings of calls are made only if call recording is switched on for your account. It is off by default. You can switch it on or off in your settings, and we can do so for you on request. With it off, no audio is kept; you still receive the transcript, summary and message for every call. With it on:
- Sophie opens every call by telling the Caller that the call is recorded and asking whether that is OK (for example: "Hi, it's Sophie from [business]. Just so you know, this call is recorded. Is that OK?"), in place of your usual greeting;
- if the Caller agrees, the recording of that call is kept and you can play it in your dashboard;
- if the Caller says no, does not clearly agree, or ends the call before answering, Sophie confirms that recording is off ("No problem, I've turned it off") and carries on as normal. No recording of that call is kept: any audio our voice provider captured before the answer is deleted from the provider's systems straight after the call and is never stored by us or shown to you. Only the written record (transcript, summary and message) is kept for that call;
- we record the Caller's answer (yes or no) against the call; and
- kept recordings are deleted automatically 12 months after the call, or sooner if you ask us or when the Agreement ends (clause 22).
10.5 Your responsibility for recording. If you switch call recording on, you are responsible for having a lawful basis for recording, for recording only where it is necessary and proportionate for your purposes, for telling Callers about it in your privacy notice, and for not switching it on where the law, your regulator or your own policies do not allow it. Browser test calls follow the same setting.
10.6 Outbound calls and marketing. You must not use the Service to make unsolicited marketing calls or to call numbers registered with the Telephone Preference Service or the Corporate Telephone Preference Service in breach of PECR.
11. AI accuracy
11.1 Sophie uses artificial intelligence, including speech recognition, speech synthesis and large language models. AI can make mistakes. It can mishear words, names and numbers, misunderstand what a Caller means, give an incomplete or wrong answer, or produce a summary, booking or quote that is inaccurate.
11.2 Sophie answers from the information you provide. She is designed not to invent prices, availability or policies, but we cannot guarantee she will never do so.
11.3 You should check call summaries, bookings and quotes before relying on them, and in particular check any draft quote before sending it to a customer. Draft quotes are estimates prepared for your review; they are not offers made by us, and you are responsible for any quote, price or promise you send or confirm.
11.4 Nothing Sophie says on your behalf is advice from ansame. To the extent the law allows, we are not responsible for decisions you or Callers make based on what Sophie says, or on summaries, transcripts or quotes produced by the Service.
12. Acceptable use
12.1 You must not, and must make sure your Users do not, use the Service to:
- break any law or regulation, or help anyone else to do so, including fraud, scams, phishing or impersonation;
- make or receive calls that are abusive, threatening, harassing, discriminatory, obscene or defamatory;
- deceive Callers about who they are speaking to, including telling them Sophie is a human;
- make unsolicited marketing calls, robocalls or mass calls, or contact people in breach of PECR or the TPS/CTPS rules;
- collect payment card details, bank login details or passwords over the phone through Sophie;
- collect special category data or criminal offence data without a lawful basis and an appropriate condition;
- provide services intended for children under 13, or deliberately collect children's data without appropriate safeguards;
- infringe anyone's intellectual property, privacy or other rights;
- introduce viruses or harmful code, probe, scan or test the vulnerability of the Service, or try to get around any security or usage limit;
- access another business's data, or use the Service to build a competing product, or copy, resell or sub-license the Service without our written consent;
- overload the Service (for example by automated calling or excessive API requests), or use it in a way that could damage our reputation or that of our suppliers; or
- use the Service in breach of the acceptable use policies of our sub-processors that we make available to you.
12.2 If we reasonably believe you are in breach of this clause, we may suspend the affected part of the Service immediately and will tell you why as soon as reasonably possible.
13. Third-party services and integrations
13.1 The Service relies on third-party providers for telephony, voice AI, speech recognition and synthesis, AI language models, email delivery, hosting and storage. They are listed in Annex 3 of the DPA.
13.2 You may choose to connect third-party services such as Calendly, Google Calendar, Microsoft Outlook, your own webhook endpoint or other software ("Integrations"). Your use of an Integration is governed by your agreement with its provider. When you connect an Integration, you instruct us to send it the data needed to make it work (for example booking details), and that provider handles the data under its own terms. We are not responsible for Integrations, their availability or how their providers use data, and an Integration may stop working if its provider changes it.
13.3 Webhooks and API keys you create send Customer Data to systems you control. You are responsible for securing those systems.
14. Availability, support and changes
14.1 We will use reasonable skill and care to provide the Service and to keep it available 24 hours a day, but we do not guarantee that it will be uninterrupted, error-free or available at any particular time. Calls may fail or drop because of things outside our control, including problems with phone networks, your call forwarding, the internet or our providers.
14.2 We may carry out planned maintenance and will try to do it at quiet times. We will try to give notice of planned maintenance that we expect to affect calls.
14.3 Support is available by email at hello@ansame.uk. We aim to reply within one Business Day.
14.4 We may improve or change the Service, including changing providers, as long as the change does not materially reduce the core functionality you pay for. If a change materially reduces it, we will tell you and you may cancel without penalty within 30 days.
14.5 You should keep a fallback, such as your own voicemail, in case the Service is unavailable.
15. Data protection
15.1 When we process Caller Data and other personal data in Customer Data on your behalf, you are the controller and we are your processor. The DPA in Schedule 1 applies and forms part of the Agreement.
15.2 We are a controller of personal data about you and your Users that we use to run our business (for example account, billing, support and acceptance records), and of personal data from our website and enquiry form. Our Privacy Policy explains how we use it.
15.3 We do not sell Customer Data, and we do not use Caller Data to train our own AI models. We choose AI providers whose business terms state that data sent through their APIs is not used to train their models by default, and we do not opt in to such training.
15.4 We may create anonymised and aggregated statistics from use of the Service (for example call volumes and minutes) that do not identify you, your Users or any Caller, and use them to run, improve and promote the Service.
16. Intellectual property
16.1 We (and our licensors) own all intellectual property rights in the Service, including the software, design, the ansame name and logo, documentation and the prompts and configurations we create. Subject to payment, we grant you a non-exclusive, non-transferable right during the Agreement for your Users to use the Service for your internal business purposes.
16.2 You own the Customer Data. You grant us a non-exclusive licence to use, copy, store, transmit and process Customer Data only as needed to provide, support, secure and improve the Service and as otherwise set out in the Agreement.
16.3 If you give us suggestions or feedback, we may use them freely without any obligation to you.
17. Confidentiality
17.1 Each party will keep the other's confidential information secret, use it only for the purposes of the Agreement, and disclose it only to its staff, advisers, subcontractors and sub-processors who need to know it and are bound by similar duties, or where required by law or a regulator.
17.2 Confidential information does not include information that is or becomes public (other than through a breach of this clause), was already known to the receiving party, is independently developed, or is lawfully received from someone else without a duty of confidence.
17.3 This clause continues for 5 years after the Agreement ends, and indefinitely for trade secrets and personal data.
18. Warranties and disclaimers
18.1 We warrant that we will provide the Service with reasonable skill and care and substantially as described in our documentation. If we breach this warranty, your remedy is that we will use reasonable efforts to fix the problem and, if we cannot do so within a reasonable time, either party may end the Agreement and we will refund fees paid in advance for the period after termination.
18.2 Each party warrants that it has the right to enter into the Agreement.
18.3 Except as expressly stated in the Agreement, and to the extent permitted by law, all other warranties, conditions and terms, whether implied by statute, common law or otherwise (including as to satisfactory quality and fitness for a particular purpose), are excluded. In particular, we do not warrant that the Service will answer every call, that every call will be understood correctly, or that it will meet your specific requirements.
19. Limitation of liability
19.1 Nothing in the Agreement limits or excludes either party's liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) your obligation to pay fees due; or (d) any other liability that cannot be limited or excluded by law.
19.2 Subject to clause 19.1, neither party is liable to the other, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any: (a) loss of profits, revenue, business, contracts or anticipated savings; (b) loss of goodwill or reputation; (c) loss of business opportunity, including missed calls, missed bookings or lost customers; (d) loss or corruption of data (except our obligations to restore from backup under the DPA); or (e) indirect or consequential loss.
19.3 Subject to clauses 19.1 and 19.4, each party's total aggregate liability arising out of or in connection with the Agreement in any 12-month period is limited to the greater of: (a) the total fees paid and payable by you in the 12 months before the event giving rise to the claim; and (b) [LIABILITY CAP AMOUNT, e.g. £1,000].
19.4 Our total aggregate liability for breaches of the DPA or Data Protection Laws is limited to [DATA PROTECTION CAP, e.g. twice the fees paid in the previous 12 months or £5,000, whichever is greater].
19.5 The limits in this clause do not apply to your liability under the indemnity in clause 20.
19.6 You agree that the limits in this clause are reasonable given the price of the Service, that AI and telephony are inherently imperfect, and that you can protect yourself by checking messages, keeping a fallback and holding your own insurance.
20. Indemnity
20.1 You will indemnify us against all claims, losses, fines, damages, costs (including reasonable legal fees) and expenses we suffer arising from: (a) your breach of clause 8 (your responsibilities), clause 10 (telling callers about AI and recording) or clause 12 (acceptable use); (b) processing Caller Data in line with your instructions where those instructions break Data Protection Laws; or (c) any claim that information or content you provided for the Service infringes a third party's rights or is unlawful.
20.2 We will tell you promptly of any such claim, let you control its defence (if you agree to do so at your cost), give reasonable help at your cost, and not settle it without your consent (not to be unreasonably withheld).
21. Suspension and termination
21.1 Suspension. We may suspend all or part of the Service, with as much notice as is reasonable in the circumstances: (a) if an invoice is still unpaid after we have sent you a payment reminder and at least 24 hours' notice of the suspension by email; (b) if you breach clause 12 or we reasonably believe the Service is being used unlawfully or in a way that threatens its security or integrity; or (c) if required by law, a regulator or one of our providers. We will restore the Service promptly once the reason is resolved. Fees continue during a suspension caused by you.
21.2 By you. You may end the Agreement as described in clause 7.
21.3 By us for convenience. We may end the Agreement for any reason by giving you at least 30 days' notice by email. You will not be charged for any period after the end date.
21.4 For breach or insolvency. Either party may end the Agreement immediately by written notice if the other: (a) commits a material breach which cannot be remedied, or which is not remedied within 14 days of written notice; or (b) becomes insolvent, enters administration, liquidation or a voluntary arrangement, has a receiver appointed, ceases business, or anything equivalent happens.
21.5 By us for non-payment or misuse. We may also end the Agreement immediately by notice by email if: (a) an invoice is still unpaid 14 days after we have sent you a payment reminder; (b) you breach clause 12 (acceptable use) or otherwise misuse the Service; or (c) you commit any other material breach described in clause 21.4.
21.6 What happens on termination. Your right to use the Service ends; you must remove call forwarding to any number we provide (calls to it will no longer be answered); you must pay all fees due up to termination; and clauses that by their nature should continue (including 5, 11, 16, 17, 19, 20, 22, 24 and 25) continue.
22. Your data when the agreement ends
22.1 For 30 days after the Agreement ends you may ask us to export your Customer Data in a commonly used format (such as CSV or JSON). After that period, or earlier if you ask in writing, we will delete Customer Data from the Service and ask our sub-processors to delete it, within 90 days, except where we must keep it by law. Backups are overwritten in their normal cycle and kept secure until then.
22.2 We may keep records of your account, invoices, payments and acceptance of these Terms for as long as needed to meet legal, tax and accounting obligations and to establish or defend legal claims (normally 6 years after the Agreement ends).
23. Changes to these terms
23.1 We may update these Terms, the DPA or our policies from time to time. Each version has a version number and date. We will tell you of material changes by email or in the dashboard at least 30 days before they take effect, unless the change is needed sooner for legal, regulatory or security reasons.
23.2 We may ask you to accept the new version when you next log in. If you do not agree to a change, you may cancel before it takes effect; otherwise the new version applies from the date it takes effect.
24. General
24.1 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including failures of phone networks, internet or power, provider outages, cyber-attacks, pandemics, strikes or government action (but this does not excuse payment).
24.2 Assignment. You may not transfer the Agreement without our written consent. We may transfer it to a successor of our business, or to a company in our group, on notice to you.
24.3 Entire agreement. The Agreement is the entire agreement between us about its subject and replaces any earlier understanding. Each party confirms it has not relied on any statement not set out in the Agreement. Nothing limits liability for fraud.
24.4 Notices. Notices must be in writing and may be sent by email: to us at hello@ansame.uk, and to you at the main contact email on your account. An email is treated as received on the next Business Day after sending, unless a bounce message is received.
24.5 Electronic acceptance. The Agreement may be accepted electronically and electronic records of acceptance are evidence of it.
24.6 Third parties. No one other than you and us has any right to enforce the Agreement under the Contracts (Rights of Third Parties) Act 1999.
24.7 Severance and waiver. If any provision is found invalid, the rest continues in force. A failure or delay to exercise a right is not a waiver of it.
24.8 Relationship. Nothing creates a partnership, joint venture or agency between us.
25. Governing law and jurisdiction
The Agreement and any dispute or claim (including non-contractual ones) arising from it are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
